1. Introduction and agreement
These Terms of Service govern your use of the Privy website at privy.ac, the Privy trading interface, the Privy developer API and any related services (together, the "Service"). By connecting a wallet, signing in, approving a trade or using the API, you agree to these Terms, our Privacy Policy and our Risk Disclosure.
If you do not agree, do not use the Service. You may stop using it at any time.
2. Service operator and contact details
The Service is provided under the trading name Privy at privy.ac. In these Terms, "Privy", "we" and "us" refer to the person or organization that operates the Service. Full operator identification and a contact address will be added to these Terms once confirmed.
You can reach us at support@privy.ac, send legal correspondence to legal@privy.ac, or use @PrivyAC on X and the options on our Contact page.
3. Eligibility and permitted jurisdictions
You may use the Service only if:
- you are at least 16 years old, or any higher minimum age that applies to crypto-asset services where you live, and have legal capacity to enter into these Terms;
- using a cryptocurrency trading service is lawful where you live and where you access the Service;
- you are not subject to sanctions, and you are not located in, or ordinarily resident in, a country or region subject to comprehensive sanctions;
- you are not acting on behalf of anyone who does not meet these requirements.
Privy is intended to be available internationally, but only where its use is lawful. We do not represent that the Service is permitted, licensed or appropriate in every country. You are responsible for checking that you may use it where you are. We may restrict or block access from any location where offering the Service would be unlawful, would breach sanctions or would create regulatory risk.
4. Description of Privy's services
Privy lets you trade tokens on the Solana blockchain from trading wallets that are separate from the wallet you connect. Specifically, Privy:
- authenticates you by asking your connected wallet to sign a message;
- creates trading wallets for you and manages them on your behalf;
- accepts SOL deposits from your connected wallet to fund buys;
- executes buys and sells through third-party routing, currently Jupiter;
- pays sale proceeds in SOL back to your connected wallet;
- shows your holdings, activity and points, and offers a developer API.
Privy is a software service. It is not a bank, broker, investment adviser or exchange, and nothing on the Service is financial, investment, tax or legal advice. Privy does not hold itself out as licensed or authorised by any regulator.
5. Connected wallets and authentication
You connect an external Solana wallet that you control (your "connected wallet"). To sign in, your wallet signs a one-time message. Signing in does not move funds and does not give Privy access to your connected wallet. A signed-in session lasts up to 12 hours, after which you must sign in again.
You are solely responsible for your connected wallet, its recovery phrase and its private keys. Privy never asks for them, cannot recover them, and cannot reverse transactions signed with them.
6. Privy-managed trading wallets
When you buy, Privy generates a separate Solana trading wallet for that position. Privy creates the private key for each trading wallet, stores it encrypted on its servers, and decrypts it on its servers to sign transactions it carries out on your behalf.
This means trading wallets are platform-managed, not self-custodied. Your connected wallet does not control them, and you cannot export their keys. Privy is therefore not an entirely non-custodial service: while tokens sit in a trading wallet, you rely on Privy to operate and secure that wallet and to sell when you instruct it to.
Trading wallets are associated with your connected wallet in Privy's records. They are recorded on the public Solana blockchain like any other wallet.
8. SOL deposits
Buys are funded in SOL. Your deposit is sent from your connected wallet to a Privy-operated treasury address, which then funds the trading wallet for your buy. A buy request is valid for 10 minutes; if you do not deposit within that time, it expires and no funds move.
Each buy must be at least 0.01 SOL. We may introduce or change trade limits and will show any current limits before you approve.
Send deposits only through the Privy interface or API. SOL sent to Privy addresses in any other way may not be credited.
9. Privy platform fees
Privy charges a platform fee of 0.005 SOL on each SOL-funded buy. The fee is added on top of your trade amount, so the total you deposit is the trade amount plus the fee.
Example
Trade amount: 1 SOL
Privy fee: 0.005 SOL
Total deposit: 1.005 SOL
Privy may also advance up to 0.03 SOL from its own funds to the trading wallet to cover network costs such as transaction fees and token-account rent. This reserve is funded by Privy and is not an additional charge to you. Privy may recover any unused part of it from the trading wallet.
Solana network fees for transactions you sign from your connected wallet are paid by your wallet and are separate from the Privy fee. The fee, the total deposit and the expected execution costs are displayed before you approve. Privy does not currently charge a separate platform fee on sells.
10. Jupiter swap execution
Swaps are routed and built using Jupiter, a third-party aggregator, and settled on Solana. Prices shown before approval are quotes, not guarantees. Quotes can change between preview and execution because of market movement, liquidity, routing and network conditions.
Your slippage tolerance sets the worst price you accept. The default is 15%, which is high: a trade may execute at a materially worse price than quoted, as long as it stays within the minimum output you approved. You can change it in settings. A tolerance does not guarantee that a trade will execute and does not prevent every form of price movement or MEV.
11. Trading risks
Trading tokens carries significant risk, including the loss of everything you trade. Many Solana tokens are illiquid, highly volatile or malicious. Please read the Risk Disclosure before trading. You are responsible for evaluating every token you buy.
12. Withdrawals and settlements
Tokens you buy are held in your trading wallets. To exit a position, you sell it through Privy. Sale proceeds are paid in SOL to your connected wallet once the sale and payout transactions confirm on-chain.
Privy does not currently support transferring purchased tokens directly from a trading wallet to another wallet. If a token cannot be sold (for example, because it has no liquidity or restricts transfers), you may be unable to exit that position.
13. Failed trades and refunds
If a buy fails after you have deposited, Privy moves it into refund or recovery processing and returns the recoverable SOL to your connected wallet. Some trades may need manual review before a refund can be sent. Refund status and on-chain signatures appear in your Activity.
Refunds and payouts depend on blockchain conditions and third-party services, and may be delayed. Network costs already spent on failed transactions may not be recoverable.
14. User responsibilities
- Check every token address, amount, fee, minimum output and slippage setting before approving.
- Keep your connected wallet, devices and API keys secure, and revoke any API key you believe is exposed.
- Comply with all laws that apply to you, including tax reporting.
- Use only funds you can afford to lose.
15. Prohibited activities
You must not use the Service to:
- launder money, finance terrorism, evade sanctions or conceal the proceeds of crime;
- manipulate markets, including wash trading, spoofing or coordinated pump-and-dump activity;
- trade on behalf of others without authorization, or use stolen funds or wallets;
- attack, probe, overload or circumvent the security or rate limits of the Service or its API;
- access the Service from a restricted jurisdiction, including by using tools to hide your location.
16. Third-party services
The Service relies on third parties, including Jupiter for routing and token data, Solana RPC infrastructure, Supabase for databases and Vercel for hosting. Your connected wallet is third-party software. We do not control these services and are not responsible for their availability, accuracy or conduct, but we choose them with care.
17. Service availability
We aim to keep the Service available but do not guarantee uninterrupted access. We may pause trading, limit trade sizes, delist tokens or change features to protect users, respond to incidents or meet legal requirements. Trades already in progress continue to be processed or refunded where possible.
18. Privacy and data processing
We process your wallet addresses, trading records and technical data as described in our Privacy Policy. Solana transactions are public. Using separate trading wallets reduces some links between your wallets but does not make your activity private or untraceable, and privacy is not guaranteed.
19. Intellectual property
The Privy name, logo, website design and software are owned by the operator or its licensors. You receive a limited, revocable, non-transferable right to use the Service for its intended purpose. Token names and logos belong to their respective owners.
20. Suspension and termination
We may suspend or end your access, revoke API keys or decline trades if we reasonably believe you have breached these Terms, pose a security or legal risk, or if we are required to by law. Where lawful, we will still let you sell open positions or return recoverable funds to your connected wallet.
21. Limitations of liability
To the extent permitted by applicable law, the Service is provided "as is" and "as available", and Privy is not liable for losses caused by market movements, token behaviour, blockchain conditions, third-party services or your own decisions and errors.
Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by negligence, and nothing removes rights you have as a consumer under mandatory law.
22. Changes to the Terms
We may update these Terms as the Service changes. The date at the top shows the latest version. For material changes, we will give notice on the website before they take effect. Continuing to use the Service after that means you accept the updated Terms.
23. Governing law and disputes
The governing law and the venue for resolving disputes under these Terms have not yet been specified and will be added in a future revision. Nothing in these Terms limits any mandatory right you have under the law where you live, including any right to bring a claim in your local courts.
Before starting a formal dispute, please contact legal@privy.ac so we can try to resolve the issue informally.
24. Contact information
For questions about these Terms, email legal@privy.ac. For help with your account or a trade, email support@privy.ac or message @PrivyAC on X. See also the Contact page.
